These Services may include but are not limited to:

• All membership access, program pieces and sessions associated with Ideal Career Search, Ideal Career by Leslie A. Butler
• All membership access to alternate online platforms used like Facebook, and the like.
• Individual and Team Coaching Sessions on Career-related or miscellaneous Life Coaching topics
• Resume Review and Feedback
• All forthcoming product or services to be sold by LAB Empowerment Coaching, LLC, (leslieabutler.com)

By accessing this Site and/or by placing an Order with LAB Empowerment Coaching, LLC, (leslieabutler.com), by clicking “accept/purchase/pay now/complete order,” or by using the Services, you agree to be bound by this Agreement. If you do not agree with these terms, you should leave the LAB Empowerment coaching, LLC, (leslieabutler.com), website and discontinue use of the Services immediately.

In these terms and conditions, “We/us/our/[d/b/a]” means LAB Empowerment Coaching, LLC, (leslieabutler.com), LAB E.C., LLC. “You/your” means you as a user of the Website and/or Customer of the Program/Services.

The Services include an online educational program or individual coaching sessions which teach you how to discover your ideal career path. The program content will be delivered as follows: online platform through the program website or via Learning Management System, one-on-one phone calls or SKYPE sessions, Audios, Videos, PDF Files, self-study program materials, homework, coaching, masterminding with other clients, access to customer-private online group like Facebook groups and the like, and/or other products and services as indicated on your Order form page or in email. If your purchase includes an online Program or Membership site access, you will use a unique username and password that should only be used by you to access the Content. Sharing log-in information, call-in numbers, passwords, and protected links with non-members is prohibited and will result in removal from the program without refund.

PAYMENT POLICY

Payment is required before use of products or services, as indicated on your Order form, and may be a one-time fee, or a monthly or other recurring fee, as applicable. Please check the details of your Order form or Order page for the information specific to your program. You agree to pay the amount agreed (including an additional fees on the Order form or Order page) and not to cancel this transaction with your bank or credit card company. LAB Empowerment Coaching, LLC, (leslieabutler.com), is not responsible for any overdraft charges, over limit charges, or NSF fees charged by your bank or credit card company. Fees for Services may be pre-paid or by installment, as indicated on your Order form. Failure to make an installment payment will result in suspension or termination of the Services. LAB Empowerment Coaching, LLC, (leslieabutler.com), does not guarantee any specific results from use of the Services. LAB Empowerment Coaching, LLC, (leslieabutler.com), does not make any representations or warranties as to specific outcomes or results.

TERM

This Agreement will be effective consistent with the term indicated on your Order form or Order page. Failure to pay for the Product or Program or Services consistent with the program requirements will result in termination of the Program prior to the end of the applicable term, and your access to Program materials or ongoing Services will be discontinued. Additional fees may be accrued in the event you continue to access the Program website or continue to use the Services after any failure to pay for said services.

EARNINGS DISCLAIMER

When addressing financial matters in any of our websites, videos, newsletters, programs or other content, we’ve taken every effort to ensure that we accurately represent our programs and their ability to inspire personal growth and improve your life. However, we do not guarantee that you will get any results or earn any money using any of our ideas, tools, strategies or recommendations, and nothing on our Site(s) is a promise or guarantee to you of future earnings.

CANCELLATION/REFUND POLICY

No substitutions or exchanges. For specific products or services, where expressly stated in the program marketing materials or text, a “30-day Accountability-driven Guarantee” may apply. If so, it will outline specific steps that must be taken prior to 30 days in order for a refund to be given. This guarantee may be mentioned in association with specifically identified products or services, and only applies to those stated products or services. All steps must be followed in accordance with the guarantee in order to receive a refund.

MEMBER AREA AND MASTERMIND COMMUNITY RULES

For each program the mastermind community is about sharing and growing with other program members. There is absolutely no solicitation (selling or offering) of any kind from members to other members. You shall not sell any other programs or products or services to any other member (including your own). You shall not ask any other member to join other social networks, groups, or programs. If you are found in breach of these terms you will be removed from the program without refund.

INTERNATIONAL USERS

The Service is controlled, operated and administered by LAB E.C., LLC from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the LAB E.C., LLC Content accessed through www.leslieabutler.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

NO UNLAWFUL OR PROHIBITED USE/INTELLECTUAL PROPERTY

SEVERABILITY

If any provision of this Agreement, or any portion thereof, is held to be invalid and unenforceable, then the remainder of this Agreement shall nevertheless remain in full force and effect, and the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless LAB E.C., LLC, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. LAB E.C., LLC reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with LAB E.C., LLC in asserting any available defenses.

ADDITIONAL EVENT DISCLAIMER

You, the ticket holder hereof voluntarily assumes all risks incidental to the Event, including bodily injury and death, whether occurring prior to, during or following the Event. The holder releases LAB Empowerment Coaching, LLC, (leslieabutler.com), employees, agents, consultants, vendors, management, venues, promoters, participants, organizers, sponsors, and their respective subsidiaries and affiliates and each of their respective officers, directors, agents, partners, employees, sponsors, service providers and representatives from any claims related to, arising out of or incidental to the Event or the holder’s presence thereat.

The Event ticket is a revocable license to enter the venue at the date and time listed on the front hereof. We, management of the Event, reserve the right, without the obligation to provide a full or partial refund, to refuse entry to or eject any person for any reason deemed necessary in the sole discretion for the safe and orderly operation of the event (including disorderly, vulgar, disrespectful, disruptive or abusive conduct) or for the enforcement of policies applicable to the event (including these terms or other posted policies).

WE STRONGLY RECOMMEND TRAVEL INSURANCE. While we have no expectation to cancel this event, we strongly advise that you purchase travel insurance. LAB Empowerment Coaching, LLC, (leslieabutler.com), its officers, assigns, affiliates or any related parties are not responsible for any losses or expenses due to delay or changes in schedule, overbooking of accommodations, default of any third parties, sickness, weather, strikes, acts of God, acts of terrorism, force majeure, war, quarantine, criminal activity, or for any other cause beyond its control. We reserve the right to change or cancel the event without prior notice. If the event is cancelled for any reason, we shall have no liability beyond the refund of all event participants’ ticket price/registration fees received by it.

ASSIGNMENT

No assignment of this Agreement is permitted, without prior written permission from LAB Empowerment Coaching, LLC, (leslieabutler.com). Any attempt to do so shall constitute a default or violation of this Agreement which shall be immediately void. LAB Empowerment Coaching, LLC, (leslieabutler.com), rights and obligations, in whole or in part, under this Agreement may be assigned or transferred by LAB Empowerment Coaching, LLC, (leslieabutler.com).

THIRD PARTY BENEFICIARIES

This Agreement is solely for the benefit of the parties and their successors and permitted assigns, and does not confer any rights or remedies on any other person or entity.

GOVERNING LAW

This Agreement and any action related thereto shall be governed by the laws of the State of Delaware without regard to its choice of law principles. The parties consent to exclusive jurisdiction and venue in federal and state courts sitting in Newark, Delaware.

DISPUTES

In the event that a dispute arises pursuant to this Agreement, either Party may submit a written demand to the other that the dispute be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in the state of Delaware. The foregoing shall not prevent LAB Empowerment Coaching, LLC, (leslieabutler.com), from seeking injunctive relief in a court of competent jurisdiction.

FORCE MEJEURE

If a party is prevented from fulfilling its obligations under this Agreement for one of the following reasons beyond the party’s reasonable control, including due to a national environmental or military emergency, such as fire, flood, explosion, war, strike, embargo, government regulation, or civil or military authority, or acts or omissions of carriers, transmitters, providers, vandals, or hackers (a “force majeure event”), the time for that party’s performance will be extended for the period of the delay or inability to perform due to such occurrence; provided, however, that You will not be excused from payment of any sums of money owed by you to LAB Empowerment Coaching, LLC, (leslieabutler.com); and provided further, however, that if a party suffering a force majeure event is unable to cure that event within thirty (30) days, the other party may terminate this Agreement.

CONSTRUCTION

This Agreement shall be construed fairly and not interpreted for or against either party. Any remedies available to LAB Empowerment Coaching, LLC, (leslieabutler.com), including any set forth in this Agreement, are not exclusive and are in addition to any other rights or remedies available to it at law or in equity.

BINDING EFFECT

This Agreement shall be binding upon, and inure to the benefit of the respective parties hereto, their successors, heirs, representatives, and permitted assigns.

LIABILITY DISCLAIMER

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. LAB EMPOWERMENT COACHING, LLC AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

LAB EMPOWERMENT COACHING, LLC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. LAB EMPOWERMENT COACHING, LLC AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LAB EMPOWERMENT COACHING, LLC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF LAB EMPOWERMENT COACHING, LLC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

DAMAGE WAIVER

Under no circumstances whatsoever shall either party be liable to the other for any incidental, consequential, indirect, special, exemplary, punitive, or other damages under this Agreement. This provision applies even if such party has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained in this Agreement, LAB Empowerment Coaching, LLC, (leslieabutler.com), liability to you for any cause whatsoever and regardless of the form of action, will at all times be limited to the amount paid, if any, by you to LAB Empowerment Coaching, LLC, (leslieabutler.com), for the services during the term of the Program or membership.

TERMINATION/ACCESS RESTRICTION

LAB E.C., LLC reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Delaware and you hereby consent to the exclusive jurisdiction and venue of courts in Delaware in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and LAB E.C., LLC as a result of this agreement or use of the Site. LAB E.C., LLC’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of LAB E.C., LLC’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by LAB E.C., LLC with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and LAB E.C., LLC with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and LAB E.C., LLC with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

CHANGES TO TERMS

LAB E.C., LLC reserves the right, in its sole discretion, to change the Terms under which www.leslieabutler.com is offered. You agree to be bound by the terms of this Agreement and any future modifications when such modifications are posted to the LAB Empowerment Coaching, LLC, (leslieabutler.com), website(s). You should review this Agreement regularly during the use of the Product or Program or Services to keep apprised of any changes. The most current version of the Terms will supersede all previous versions. LAB E.C., LLC encourages you to periodically review the Terms to stay informed of our updates.

VOIDABILITY

This Agreement cannot be voided by not logging in to the Member or Program website, where applicable, by not accessing or using the Services as delivered, or in any other way attempting to avoid viewing or taking delivery of the Product or Program or Services as outlined. These actions will not void your Agreement or permit you the right to a refund.

ENTIRE AGREEMENT

This Agreement represents the entire understanding and agreement of the parties relating to the Product or Program or Services purchased, and any and all prior agreements, understandings, and representations, whether express or implied, written or oral, regarding the Product or Program or Services, are of no further force and effect. In order to participate in certain portions of the Product or Program or Services, you may be notified that you may be required to agree to additional terms and conditions as the program is revised over time. You may receive a copy of this Agreement at any time by emailing LAB Empowerment Coaching, LLC, (eslieabutler.com), at CustomerSupport@leslieabutler.com and requesting a copy of your “Program Terms and Conditions of Use” for purchases.
